Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Orbit, the people-search and enrichment service operated by Connect upskill Inc.(“upskill”, “we”, “us”), at orbitpeople.ai and related interfaces. By creating an account or using the service, you agree to these Terms. If you are using Orbit on behalf of an organization, you represent that you are authorized to bind that organization.
1. The service
Orbit lets people and software agents search for and enrich information about people across third-party data sources you connect, and deliver ranked results through interfaces including the web app, a Slack command, a REST API, and an MCP endpoint. Orbit uses a bring-your-own-key model for those data sources — you supply your own provider API credentials (see Section 7). The available sources, features, and limits may change over time.
2. Accounts
You are responsible for the activity under your account and for keeping your credentials and API keys secure. You must provide accurate account information and promptly notify us of any unauthorized use. You must be at least 18 years old and not barred from using the service under applicable law.
3. Acceptable use
Orbit returns information about real people. You agree to use it only for lawful purposes and to comply with all laws that apply to your use of personal data. You will not, and will not permit anyone to:
- use results to unlawfully discriminate, harass, stalk, threaten, or defraud any person;
- send unsolicited communications in violation of anti-spam, telemarketing, or messaging laws (including CAN-SPAM, TCPA, and GDPR/ePrivacy);
- use the service for credit, employment, insurance, housing, or other eligibility decisions governed by the Fair Credit Reporting Act (FCRA) — Orbit is not a consumer reporting agency and results are not consumer reports;
- scrape, resell, or redistribute the data except as expressly permitted, or exceed the rate limits and quotas applicable to your plan;
- attempt to breach security, reverse engineer the service, or interfere with its operation.
4. Your data and lawful basis
You determine the searches you run and the use you make of the results. As between you and us, you are responsible for having a valid legal basis to process the personal data you obtain through Orbit and for honoring data-subject requests that arise from your use. Our handling of personal data is described in our Privacy Policy.
5. Billing
Paid plans are billed through Stripe. Pricing, including any usage-based charges, is described at orbitpeople.ai/pricing. Fees are non-refundable except where required by law. We may change pricing prospectively with notice. You authorize us and our payment processor to charge your payment method for amounts due.
6. Intellectual property
We retain all rights in the service, including its software, interfaces, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service. You retain rights in the data you submit and the results you are entitled to use.
7. Data sources you connect (bring your own key)
You connect your own accounts with third-party data providers by supplying their API credentials in your workspace settings. Orbit accesses those providers on your behalf, using your credentials, under your own agreement with each provider. You are responsible for maintaining those accounts and for complying with each provider’s terms, acceptable-use policy, and any redistribution or retention limits. We do not warrant the accuracy or completeness of third-party data. Orbit’s own infrastructure and AI sub-processors are listed in our Privacy Policy.
8. Disclaimers
The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that results are accurate, current, or complete.
9. Limitation of liability
To the maximum extent permitted by law, upskill will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data. Our total liability arising out of or related to the service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.
10. Termination
You may stop using the service at any time. We may suspend or terminate access if you violate these Terms or use the service in a way that creates risk or legal exposure. Provisions that by their nature should survive termination will survive.
11. Governing law
These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Oregon.
12. Changes
We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Continued use after changes take effect constitutes acceptance.
